How the content you submit to Fanz® is licensed, and your rights and responsibilities

You keep ownership of what you post. When you submit content to Fanz, you keep your rights in it — you simply give us (and other users, so sharing works) a broad, non-exclusive license to host and display it.

The license is broad but purpose-limited. It is worldwide, royalty-free, sublicensable, and transferable, and it lets us store, adapt, reformat, translate, excerpt, promote, and distribute your content to operate and market the Services.

Deletion mostly ends our use — but not always instantly. After you delete content or your account, we stop actively distributing it within a commercially reasonable time, but some copies survive (backups, legal holds, and content others already reposted or that third parties cached).

You promise you have the rights. You represent that you own or are licensed for everything you submit, that it does not infringe anyone’s IP, privacy, or publicity rights, and that you have consent from identifiable people (and any needed NIL releases).

Feedback becomes ours. Suggestions and ideas you send us can be used freely and without compensation.

Extra protection for minors. Users 13–17 need verified parental/guardian consent, and the parent/guardian makes the license grant on the minor’s behalf.

This supplements our Terms. This policy is part of the Terms of Service, cross-references our DMCA, Privacy, Community, IP/Trademark, Monetization, and NIL policies, and disputes are handled under the arbitration terms in the Terms of Service.

This Policy is incorporated into and supplements our Terms of Service (Terms of Use) and should be read together with our Privacy Policy.

This Non-Exclusive Content License & Submission Policy (this "Policy") is entered into between you and Fanz®, LLC ("Fanz," "we," "us," or "our"), headquartered in Colorado 80550, USA. By accessing or using the Services, or by creating, uploading, transmitting, posting, or otherwise making available any content through the Services, you agree to this Policy and the Terms. If you do not agree, do not submit content to or use the Services.

1Introduction, Scope, and Relationship to Other Policies

1.1 Who We Are

This Policy is entered into between you and Fanz®, LLC, a limited liability company headquartered in Colorado 80550, USA. Fanz operates a sports-focused social media platform and related websites, applications, and features (collectively, the "Services").

1.2 Incorporation Into the Terms of Service

This Policy is incorporated into and supplements the Fanz Terms of Service (the "Terms"; also referred to by some users as the "Terms of Use"). By using the Services or making any Submission, you agree to this Policy and the Terms.

1.3 Order of Precedence

In the event of a conflict between this Policy and the Terms, the Terms control, except that where this Policy expressly governs a specific content-licensing matter (for example, the scope, survival, or sublicensing of the content license granted in Section 4), this Policy controls as to that specific matter.

This Policy works together with, and is incorporated by reference from, the following:

Capitalized terms not defined in this Policy have the meanings given in the Terms.

2Definitions

For purposes of this Policy:

  • "User," "you," or "your" means any person or entity that accesses or uses the Services, including registered account holders, viewers, creators, athletes, sellers, buyers, and, where applicable, the parent or legal guardian acting on behalf of a minor User.
  • "Submission" means any material of any kind that you create, upload, transmit, post, publish, display, stream, store, share, sell, list, or otherwise make available on, to, or through the Services, in any format and through any feature, including text, images, photographs, graphics, audio, video, livestreams, stories, comments, replies, reposts, captions, hashtags, profile and biographical information, avatars, usernames and handles, direct and group messages, marketplace listings and item descriptions, NIL materials, prediction/pick'em entries and related commentary, and any metadata associated with the foregoing.
  • "Content" means the expressive material contained in or comprising a Submission, whether or not protected by copyright or other intellectual property rights. "Content" and "Submission" are used interchangeably except where context requires otherwise.
  • "User Content" means Content submitted by Users (including you). "Fanz Content" means Content owned or licensed by Fanz, including our trademarks, logos, and platform software, which is governed by the IP & Trademark Policy and the Terms.
  • "Identifiable Person" means any natural person who is or reasonably could be identified in a Submission, whether by likeness, voice, name, handle, or other identifying attribute.
  • "NIL" means an individual's name, image, and likeness, and related right-of-publicity attributes.
  • "Sublicensee" means any party to whom Fanz grants a sublicense as permitted under Section 4, including service providers, hosting/CDN and infrastructure providers, and other Users of the Services.

3Covered Features

This Policy applies to Submissions made through all features of the Services, including without limitation: user profiles; content feeds (text, image, video, and multimedia posts, comments, reposts, stories, and livestreams); direct and group messaging; the peer-to-peer marketplace for merchandise, collectibles, and digital goods; NIL tools for athletes; free-to-play prediction and pick'em games; and creator monetization tools (tips, subscriptions, and Fanz® Credits virtual currency). Certain features are restricted by age or eligibility as described in Section 15 and the Terms.

4The Non-Exclusive License You Grant to Fanz

This Section 4 is the core of this Policy. It describes the license you give Fanz — while you keep ownership of your Content.

4.1 Ownership Retained

As between you and Fanz, you retain all ownership rights in and to your User Content, including all copyright and other intellectual property rights, subject only to the licenses you grant in this Policy and the Terms. Fanz does not claim ownership of your User Content. Nothing in this Policy transfers title in your User Content to Fanz.

4.2 Grant of License

Subject to the Privacy Policy (which governs how non-public Submissions such as direct and group messages are handled), you hereby grant Fanz a non-exclusive, worldwide, royalty-free, fully paid-up, transferable, and sublicensable (through multiple tiers) license to use your User Content as described below.

4.3 Licensed Rights

The license in Section 4.2 includes the right, in whole or in part, to:

  • host, store, cache, back up, and archive your User Content;
  • reproduce, copy, and transmit your User Content;
  • adapt, modify, reformat, and create derivative works from your User Content, including thumbnails, previews, format transcodes and re-encodes, resized and cropped versions, translations, captions and subtitles, excerpts and clips, compilations, and promotional or highlight clips;
  • publicly perform, publicly display, and stream your User Content;
  • distribute, publish, and make available your User Content to other Users and to the public; and
  • combine your User Content with advertising, other User Content, or Fanz Content,

in each case across all media, formats, platforms, and distribution channels now known or later developed, including on and off the Services (for example, in app stores, social media, and marketing materials).

4.4 Purposes

The license is granted solely for the purposes of operating, providing, hosting, maintaining, developing, improving, securing, marketing, advertising, and promoting the Services and Fanz's business, including displaying your User Content to other Users so that platform features (such as feeds, reposts, shares, messaging, marketplace, and livestreams) function as intended.

4.5 Sublicensing Tiers

You acknowledge that the sublicense rights in Section 4.2 permit Fanz to grant sublicenses through multiple tiers, including to:

  • service providers and vendors that support the Services (for example, content moderation, analytics, translation, and transcoding);
  • hosting, storage, content-delivery-network (CDN), and infrastructure providers that store, cache, and deliver your User Content; and
  • other Users of the Services, as further described in Section 5, so that reposting, sharing, and embedding features operate.

4.6 No Compensation

The license is royalty-free and fully paid-up. Except as expressly provided in the Creator Monetization Policy or a separate written agreement (for example, under the Sponsor & NIL Policy), you are not entitled to any compensation for Submissions or for Fanz's exercise of the licensed rights.

4.7 Survival of the License After Deletion

When you delete a Submission or your account, or a Submission is removed, Fanz will cease active distribution of that User Content within a commercially reasonable time. However, the license survives deletion to the extent of, and Fanz and its Sublicensees may continue to retain and use such User Content solely for:

  • (a) sublicenses already granted to other Users before deletion (for example, reposts, shares, or embeds made by other Users), which may persist;
  • (b) copies reposted, cached, indexed, or retained by third parties outside Fanz's reasonable control; and
  • (c) backup, archival, disaster-recovery, and legal-hold copies, and copies retained as required to comply with law, resolve disputes, enforce agreements, or protect the safety and integrity of the Services.

Deletion may not make your User Content disappear everywhere immediately or at all with respect to the categories above. The handling and retention of personal data associated with Submissions is further described in the Privacy Policy.

4.8 Reservation

All rights not expressly granted to Fanz in this Policy are reserved by you.

5License to Other Users; Usernames, Handles, and Avatars

5.1 User-to-User License

To enable social features, when you make a Submission available to other Users, you grant each other User a non-exclusive, royalty-free, worldwide license to access, view, use, reproduce, repost, share, quote, react to, and (where features permit) adapt your User Content through the features and functionality of the Services and in accordance with the Terms and Community Guidelines. This license does not authorize any use outside the Services or any use that violates this Policy, the Terms, or the Community Guidelines.

5.2 Usernames, Handles, and Avatars

You grant Fanz the right to use your username, handle, display name, profile photo, and avatar in connection with operating and promoting the Services, including to attribute your Submissions and display social interactions. Fanz will not represent that you endorse a product or service without a lawful basis; sponsored and endorsement content is governed by the Sponsor & NIL Policy and applicable FTC guidance.

6Submission Standards; Your Representations and Warranties

6.1 Your Representations

Each time you make a Submission, you represent and warrant that:

  • (a) Rights & Ownership. You own the Submission or have obtained all rights, licenses, consents, releases, and permissions necessary to submit it and to grant the licenses in Sections 4 and 5;
  • (b) No Infringement. The Submission does not and will not infringe or misappropriate any third party's intellectual property rights, including copyright, trademark, trade secret, or patent rights;
  • (c) Privacy & Publicity. The Submission does not violate any person's rights of privacy or publicity, and you have obtained the consent of every Identifiable Person appearing in or identified by the Submission (or their parent/guardian if a minor), including any NIL releases required under Section 8;
  • (d) Legal Compliance. The Submission and your use of the Services comply with all applicable laws, regulations, and third-party terms (including any platform, league, team, or rights-holder rules applicable to sports content);
  • (e) No Malware. The Submission contains no viruses, malware, or harmful code, and no automated or deceptive mechanism designed to disrupt or manipulate the Services; and
  • (f) Accuracy. Any factual claims, credentials, or disclosures you make (including in marketplace listings and monetized content) are truthful and not misleading.

6.2 Ongoing Nature

These representations and warranties are made anew each time you submit, repost, or modify Content and survive termination of your account.

7Prohibited Submissions

You must not submit Content that violates the Community Guidelines, the Terms, or applicable law. Prohibited Submissions include, without limitation, Content that:

  • depicts, promotes, or facilitates child sexual abuse material (CSAM), sexualization of minors, or child endangerment — such Content is strictly prohibited and, where required, will be reported to the National Center for Missing & Exploited Children (NCMEC) and/or law enforcement;
  • infringes or misappropriates intellectual property (see Sections 6, 10, and 12) or violates rights of privacy or publicity;
  • offers, promotes, or facilitates illegal goods, services, or transactions, including illegal gambling, controlled substances, weapons, counterfeit goods, or stolen property;
  • constitutes harassment, bullying, threats, hate speech, incitement to violence, or targeting of individuals or protected groups;
  • is deceptive, fraudulent, spam, scam, or manipulative, including impersonation, artificial engagement, deceptive monetization, or undisclosed paid promotion;
  • contains non-consensual intimate imagery, doxxing, or unlawfully obtained private information;
  • is obscene or sexually explicit in violation of the Community Guidelines or age-restriction rules; or
  • otherwise violates the Community Guidelines or applicable law.

Fanz may remove any Submission and take account action as described in Section 13 and the Terms.

8NIL, Name/Image/Likeness, and Right-of-Publicity Releases

8.1 Your Own Likeness

You may submit Content depicting your own name, image, likeness, and voice. To the extent your NIL appears, you consent to Fanz's use of that NIL as part of the licenses in Sections 4 and 5, subject to the Privacy Policy.

8.2 Third-Party Likeness Requires a Release

You may submit Content depicting another person's NIL only if you have obtained a valid, written release or consent from that person (or their parent/guardian if a minor) sufficient to permit the submission and the licenses granted in this Policy. You must be able to produce evidence of such release on request.

8.3 Athlete NIL and Sponsorship

NIL tools for athletes, sponsored content, endorsements, and paid NIL arrangements are additionally governed by the Sponsor & NIL Policy. Where that policy imposes additional requirements, those requirements apply in addition to this Section 8. Right-of-publicity protections vary by state; see Section 20.

8.4 Right-of-Publicity Covenant

You will not submit any Content that violates any person's statutory or common-law right of publicity, and you assume responsibility for verifying that appropriate NIL rights and releases are in place.

9Feedback

9.1 Feedback License

If you provide Fanz with any suggestions, ideas, feature requests, bug reports, evaluations, or other feedback regarding the Services ("Feedback"), you grant Fanz a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, transferable, and sublicensable license to use, reproduce, modify, and exploit the Feedback for any purpose, without any obligation, attribution, or compensation to you. Feedback is provided voluntarily and is not confidential.

9.2 No Restriction on Fanz

Nothing in this Policy limits Fanz's independent right to develop, acquire, or use products, features, or ideas similar to any Feedback.

10Moral Rights

To the fullest extent permitted by applicable law, you waive, and agree not to assert, any moral rights (including rights of attribution and integrity) and any analogous rights you may have in your User Content, in favor of Fanz and its Sublicensees, solely as necessary to permit the exercise of the licenses granted in this Policy. Where such rights cannot be waived under applicable law, you covenant not to assert them against Fanz, its Sublicensees, or Users acting within the scope of the licenses granted herein.

11Third-Party, Derivative, and Licensed Content Within Submissions

You are solely responsible for any third-party or licensed material contained in your Submissions, including music, sound recordings, video clips, broadcast footage, photographs, artwork, logos, and sports league/team marks. You represent that you have all necessary rights or licenses to include such material and to grant the licenses in this Policy. Fanz does not clear rights on your behalf, and the availability of a feature (for example, an audio or clip tool) does not grant you rights to any underlying third-party material.

12Copyright and DMCA

12.1 DMCA Policy

Fanz complies with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512. Notices of alleged copyright infringement, counter-notices, and the full takedown procedure are set out in the DMCA Policy.

12.2 Designated Agent

Fanz's designated copyright agent may be reached at copyright@fanz.us. Notices must include the elements required by 17 U.S.C. § 512(c)(3).

12.3 Repeat Infringers

Consistent with 17 U.S.C. § 512(i) and the DMCA Policy, Fanz maintains a policy of terminating, in appropriate circumstances, the accounts of Users who are repeat infringers.

13Content Moderation, Removal, Disabling, and Retention

13.1 Discretion to Moderate

Fanz may, but is not obligated to, monitor, review, screen, filter, label, age-gate, limit distribution of, remove, disable, or refuse any Submission, in whole or in part, at any time and for any reason permitted by law, including for suspected violations of this Policy, the Terms, or the Community Guidelines.

13.2 CDA § 230

Fanz's exercise of, or decision not to exercise, editorial and moderation functions is undertaken in reliance on Section 230 of the Communications Decency Act, 47 U.S.C. § 230, and does not make Fanz the publisher or speaker of User Content or waive any protection.

13.3 Retention

Retention of removed or deleted Submissions is governed by Section 4.7, the Terms, and the Privacy Policy.

14No Obligation; Monetization Interplay

14.1 No Obligation to Use

Fanz has no obligation to use, host, store, display, distribute, promote, monetize, or maintain any Submission, and may decline, remove, or discontinue any Submission at its discretion, subject to applicable law and any separate written agreement.

14.2 Monetization

Creator monetization features — including tips, subscriptions, and Fanz® Credits virtual currency — and marketplace transactions are governed by the Creator Monetization Policy, the Terms, and applicable marketplace rules. Nothing in this Policy entitles you to monetization eligibility, payout, or any minimum revenue. The non-exclusive, royalty-free license in Section 4 applies to monetized Submissions and is independent of any revenue you may earn.

15Minors (Users 13–17)

15.1 Age Requirement

The Services are available to Users 13 and older. Certain features are restricted to Users 18 and older as described in the Terms and applicable feature terms. Users under 13 are not permitted.

15.2 Verified Parental/Guardian Consent

A User who is 13–17 may only submit Content with verified parental or legal guardian consent. By allowing a minor to use the Services and make Submissions, the parent or legal guardian:

  • (a) consents to the minor's use of the Services;
  • (b) agrees to this Policy and the Terms on the minor's behalf; and
  • (c) makes the license grants in Sections 4, 5, 9, and 10 on the minor's behalf, and represents that they have authority to do so.

15.3 COPPA and Privacy

Collection and handling of personal information from minors is governed by the Privacy Policy and any applicable minor or COPPA-related addendum, and is subject to the Children's Online Privacy Protection Act (COPPA), 15 U.S.C. §§ 6501–6506, and applicable state law. NIL Content involving minors additionally requires parental/guardian release under Section 8 and the Sponsor & NIL Policy.

16Privacy

How Fanz collects, uses, discloses, and retains personal information contained in or associated with Submissions — including the treatment of private Submissions such as direct and group messages — is governed by the Privacy Policy. By making a Submission, you acknowledge the data practices described there.

17Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Fanz, its affiliates, and their respective officers, directors, employees, agents, and Sublicensees from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your Submissions; (b) your breach of this Policy, the Terms, or the Community Guidelines; (c) your violation of any law or any third party's intellectual property, privacy, publicity, or other rights (including NIL rights); or (d) your failure to obtain any required consent or release. This Section survives termination and supplements (and does not limit) any indemnification obligations in the Terms.

18Disclaimers; Limitation of Liability

IMPORTANT LEGAL DISCLAIMER

18.1 As-Is. Submissions and User Content are provided "as is" and "as available." Fanz makes no representation or warranty regarding any User Content and does not endorse any User Content. To the maximum extent permitted by law, Fanz disclaims all warranties relating to Submissions.

18.2 Other Users' Content. Fanz is not responsible or liable for User Content submitted by other Users, including its accuracy, legality, or any harm arising from it. You interact with other Users and their Content at your own risk.

18.3 Limitation of Liability. The limitations of liability set out in the Terms of Service apply in full to this Policy and are incorporated by reference.

19Term, Termination, and Survival

19.1 Term

This Policy applies for as long as you use the Services or have Submissions on the Services, and continues as to survival matters thereafter.

19.2 Termination

Fanz may suspend or terminate your access as described in the Terms. You may stop using the Services and delete Submissions at any time, subject to Section 4.7.

19.3 Survival

The following survive termination of your account or this Policy: the license grants and their survival provisions (Sections 4, 5, 9), moral-rights provisions (Section 10), representations and warranties (Section 6), prohibited-submission and NIL responsibilities (Sections 7–8, 11), copyright/DMCA (Section 12), retention (Sections 4.7, 13.3), indemnification (Section 17), disclaimers and limitation of liability (Section 18), dispute resolution (Section 20), and this Section 19, together with any other provision that by its nature should survive.

20Governing Law and Dispute Resolution

This Policy is governed by the laws of the State of Colorado, without regard to conflict-of-laws principles. Any dispute arising out of or relating to this Policy is subject to the binding individual arbitration, class-action waiver, and venue provisions set forth in the Terms of Service, which provide for binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, with venue in Weld County, Colorado. Those provisions are incorporated here by reference and are not restated in full. To the extent any matter is not subject to arbitration, the exclusive venue is the state and federal courts located in Weld County, Colorado.

21Changes to This Policy

Fanz may update this Policy from time to time. If we make material changes, we will provide reasonable notice (for example, by posting the updated Policy with a revised Effective Date, in-product notice, or email). Changes are effective as of the date posted unless otherwise stated. Your continued use of the Services, or continued availability of your Submissions, after changes take effect constitutes acceptance. If you do not agree to a change, you must stop using the Services and may delete your Submissions, subject to Section 4.7.
